1. Agreement to Terms

By accessing or using the services of Luxa Energy Ltd ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services. Luxa Energy Ltd is a company registered in Cyprus under registration number HE 482253, with VAT number CY60244887P, located at Chrysanthou Mylona 1, PANAYIDES BUILDING, Limassol, 3030, Cyprus.

2. Services

Luxa Energy provides the following solar energy services in Cyprus: **Consultation Services:** - Site assessments and feasibility studies - Energy consumption analysis - System design and recommendations - Government subsidy application assistance **Installation Services:** - Residential solar panel installation - Commercial solar panel installation - Battery storage system installation - EV charging station installation **Maintenance Services:** - Periodic system inspections - Performance monitoring - Cleaning and maintenance - Warranty support **Equipment Sales:** - Solar panels and modules - Inverters and optimizers - Battery storage systems - Mounting systems and accessories

3. Quotations and Pricing

**Quotations:** - All quotations are valid for 30 days unless otherwise stated - Quotations are based on information provided and site conditions at the time of assessment - Final pricing may vary if site conditions differ from initial assessment - Additional costs may apply for structural modifications, electrical upgrades, or permit requirements **Pricing:** - All prices are in Euros (EUR) and include VAT unless otherwise stated - Payment terms are specified in individual service agreements - Deposits may be required before commencement of work - Equipment prices are subject to change based on manufacturer pricing and exchange rates

4. Installation Terms

**Pre-Installation Requirements:** - Customer must provide accurate property documentation - Customer must ensure access to the installation site - Customer is responsible for obtaining necessary HOA or neighbor approvals - Electrical infrastructure must meet minimum requirements **Installation Process:** - Installation timeline is estimated and may vary due to weather, permit delays, or unforeseen circumstances - We will notify you of any significant delays - Minor variations in panel placement may occur based on site conditions - Customer must be available for final inspection and system commissioning **Post-Installation:** - System handover includes user training and documentation - Customer receives all warranty certificates and manuals - Grid connection application is submitted to EAC on customer's behalf

5. Warranties

**Product Warranties:** - Solar panels: Manufacturer warranty (typically 25 years performance, 12 years product) - Inverters: Manufacturer warranty (typically 5-12 years) - Battery systems: Manufacturer warranty (typically 10 years) - Mounting systems: Manufacturer warranty (typically 10-25 years) **Workmanship Warranty:** - Installation workmanship: 5 years from commissioning date - Covers defects in installation, not damage from external factors - Excludes damage from modifications by third parties **Warranty Exclusions:** - Damage from natural disasters, lightning, or extreme weather - Damage from improper use or lack of maintenance - Damage from unauthorized modifications - Normal wear and tear - Damage from power surges or grid issues

6. Customer Responsibilities

You agree to: - Provide accurate and complete information - Maintain clear access to the installation site - Notify us of any changes to property ownership or electrical systems - Follow recommended maintenance schedules - Not modify or tamper with installed equipment - Pay invoices according to agreed terms - Comply with all applicable laws and regulations - Maintain appropriate insurance coverage

7. Government Subsidies

**Subsidy Applications:** - We assist with government subsidy applications but cannot guarantee approval - Subsidy amounts and eligibility criteria are determined by government authorities - Processing times are subject to government agency timelines - Customer must provide all required documentation **Important Notes:** - Subsidy programs may change or end without notice - Customer remains responsible for any costs not covered by subsidies - Equipment purchases may need to proceed before subsidy approval - We are not liable for rejected subsidy applications

8. Limitation of Liability

To the maximum extent permitted by law: - Our total liability shall not exceed the contract value - We are not liable for indirect, consequential, or incidental damages - We are not liable for loss of anticipated energy savings - We are not liable for delays caused by factors beyond our control - We are not responsible for grid connection delays by EAC Force Majeure: We shall not be liable for failures due to war, natural disasters, pandemics, government actions, or other circumstances beyond our reasonable control.

9. Intellectual Property

- All system designs remain our intellectual property until full payment - Customer receives a license to use designs for the specific installation - Website content, logos, and materials are protected by copyright - You may not reproduce our materials without written permission

10. Cancellation and Refunds

**Cancellation Policy:** - Cancellation before contract signing: Full refund of any deposits - Cancellation after contract signing but before equipment order: Refund minus administrative fees (10%) - Cancellation after equipment order: No refund for equipment costs; installation deposit may be partially refunded - Cancellation after installation begins: No refund **Refund Processing:** - Refunds are processed within 30 business days - Refunds are made to the original payment method

11. Dispute Resolution

**Informal Resolution:** We encourage you to contact us first to resolve any disputes informally. Email: support@luxa-energy.com **Governing Law:** These Terms are governed by the laws of the Republic of Cyprus. **Jurisdiction:** Any disputes shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus. **Alternative Dispute Resolution:** You may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

12. Website Terms

**Website Use:** - The website is provided "as is" without warranties - We do not guarantee uninterrupted or error-free access - Product information and prices may contain errors and are subject to change **Online Purchases:** - Online purchases are subject to additional e-commerce terms - You have a 14-day right of withdrawal for online purchases (equipment only) - Custom-ordered equipment may not be eligible for return

13. Privacy

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
